These Terms of Service (“Terms”) govern access to and use of the Ryze platform, website, applications, integrations, WhatsApp-based ordering services, delivery integrations and related services collectively referred to as the “Services.”
The Services are provided by Ryze Solutions Company operating under the name “Ryze”, referred to in these Terms as “Ryze,” “we,” “our,” or “us.”
By registering for, accessing, integrating with or using the Services, you agree to these Terms.
If you use the Services on behalf of a company, restaurant, retailer or other organisation, you represent that you have authority to bind that organisation to these Terms.
1. About the Ryze Platform
Ryze provides technology that enables businesses to interact with their customers through digital channels, including the WhatsApp Business Platform.
Depending on the services subscribed to, Ryze may provide functionality including:
• WhatsApp-based product or menu browsing;
• ordering and checkout;
• customer communication;
• order notifications and status updates;
• payment integrations;
• delivery and logistics integrations;
• branch selection and routing;
• customer support functionality;
• analytics and reporting;
• automated or AI-assisted conversations;
• integrations with third-party systems;
• Meta and WhatsApp Business Platform onboarding and integration; and
• other related digital commerce services.
Ryze is primarily a technology service provider. Unless expressly agreed otherwise in writing, Ryze is not the seller, restaurant, merchant, delivery provider or manufacturer of products purchased through a participating business.
2. Participating Businesses
Businesses using Ryze to interact with their customers are referred to as “Merchants.”
Each Merchant remains independently responsible for its own business operations, including:
• products, food or services it offers;
• pricing;
• product descriptions and availability;
• licences and regulatory approvals;
• taxes;
• product quality and safety;
• preparation and fulfilment;
• cancellations;
• returns and refunds;
• customer service;
• delivery commitments;
• consumer protection obligations; and
• compliance with applicable laws and regulations.
Use of Ryze does not create a partnership, franchise, agency, employment or joint venture relationship between Ryze and a Merchant unless expressly agreed otherwise in writing.
3. Meta and WhatsApp Business Platform
Certain Ryze Services depend on or integrate with the WhatsApp Business Platform and other services provided by Meta Platforms, Inc. and its affiliates (“Meta”).
A Merchant using these features agrees to comply with all applicable Meta and WhatsApp terms, policies and requirements, including the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and other applicable platform and commerce policies.
3.1 Merchant Authorisation
By requesting WhatsApp integration through Ryze, the Merchant authorises Ryze, where required, to perform actions on its behalf that are reasonably necessary to establish, configure, operate and support the integration.
This may include:
• creating or configuring WhatsApp Business Platform assets;
• connecting WhatsApp Business Accounts;
• registering and configuring telephone numbers;
• creating integrations through a Ryze Meta application;
• configuring webhooks;
• submitting or managing message templates;
• connecting Meta Business assets;
• managing API access;
• configuring permissions;
• providing technical support;
• accessing relevant account information necessary to provide the Services; and
• communicating with Meta or authorised technology providers regarding technical or operational matters relating to the Merchant’s integration.
The Merchant confirms that Ryze is authorised to perform such activities for the Merchant.
3.2 Ryze Infrastructure
Ryze may provide Services using infrastructure, applications, system users, APIs, Business Portfolio assets or other technical resources operated or administered by Ryze.
Unless expressly agreed otherwise, the Merchant does not obtain ownership of Ryze’s:
• Meta applications;
• Business Portfolio or Business Manager;
• API credentials;
• system users;
• access tokens;
• software;
• automation;
• workflows;
• source code;
• infrastructure; or
• proprietary integrations.
The Merchant retains ownership of its own business name, trademarks, product information and other Merchant-provided content.
Where a WhatsApp Business Account, telephone number or similar asset has been established specifically for a Merchant, Ryze may assist with migration or release of that asset upon termination where technically possible, permitted by Meta and agreed between the parties.
Migration may be subject to account status, settlement of outstanding amounts, technical requirements and Meta’s applicable procedures.
3.3 Meta Is a Third Party
Meta and WhatsApp are independent third-party service providers.
Ryze is not WhatsApp, Meta or an affiliate of Meta unless expressly stated otherwise.
The availability and operation of WhatsApp functionality may therefore depend on Meta’s systems, APIs, policies and decisions.
Meta may modify, restrict, suspend or discontinue functionality or accounts independently of Ryze.
Ryze does not guarantee that Meta will approve any:
• business;
• telephone number;
• WhatsApp Business Account;
• display name;
• message template;
• verification request;
• product;
• catalogue; or
• other Meta asset.
4. Merchant Messaging Responsibilities
Merchants are responsible for ensuring that communications sent to customers using the Services comply with applicable law and WhatsApp requirements.
The Merchant must, where required:
• obtain valid customer consent or opt-in before initiating communications;
• retain appropriate records of consent;
• clearly identify the business responsible for the communication;
• honour requests to stop, unsubscribe or opt out;
• avoid spam, misleading or deceptive messages;
• use approved message templates where required;
• comply with applicable restrictions regarding prohibited products and services; and
• maintain accurate business and customer-support information.
The Merchant must not use Ryze to send unsolicited, illegal, abusive, fraudulent or misleading communications.
Ryze may suspend messaging functionality if we reasonably believe a Merchant’s activities could violate applicable laws, Meta policies, WhatsApp policies or materially affect Ryze’s infrastructure, reputation or other customers.
5. Automated and AI-Assisted Communications
Ryze may provide chatbots, automated workflows, artificial intelligence or similar functionality.
Automated responses are intended to facilitate activities such as:
• ordering;
• answering common questions;
• retrieving product information;
• customer support;
• collecting delivery information;
• checking order status; and
• routing customers to appropriate services.
Merchants remain responsible for supervising automated communications used on their behalf and ensuring the information supplied to Ryze is accurate.
Where required, appropriate methods of reaching customer support or a human representative should be provided.
Automated systems may occasionally misunderstand requests, provide incomplete results or require manual intervention.
6. Customer Orders
When an End Customer places an order through a Merchant using Ryze, the transaction for the underlying goods or services is between the End Customer and the Merchant, unless expressly stated otherwise.
Ryze provides the technology facilitating the transaction.
The Merchant is responsible for:
• accepting or rejecting orders;
• ensuring product availability;
• preparing the order;
• confirming pricing;
• fulfilling the order;
• resolving product complaints;
• processing applicable refunds; and
• complying with consumer rights.
Ryze is not responsible for the quality, safety, legality or suitability of products offered by Merchants.
7. Delivery Services
Ryze may integrate the platform with independent delivery, logistics or courier providers.
Unless Ryze expressly agrees otherwise in writing, delivery services are performed by third-party delivery providers.
Delivery times, estimates, driver availability, delivery coverage and tracking information may depend on information supplied by these third parties.
Estimated delivery times are not guaranteed.
Ryze is not responsible for delays, cancellations, lost items or other delivery failures caused by a Merchant, End Customer, courier, delivery provider, traffic conditions, incorrect addresses, third-party system failure or circumstances outside Ryze’s reasonable control.
The Merchant remains responsible for resolving customer issues relating to the underlying order.
8. Location Information
Certain Services may process customer location information for purposes including:
• determining the appropriate Merchant branch;
• checking delivery coverage;
• estimating distance;
• calculating delivery charges;
• assigning delivery providers; and
• facilitating order fulfilment.
Location information may be obtained through customer-provided addresses, map selections, geographic coordinates or third-party mapping services.
Routing and distance information provided through the Services is an estimate and may differ from actual driving distance, travel time or routes selected by a driver.
9. Payments
Ryze may integrate with third-party payment gateways, banks, digital wallets or other payment service providers.
Payment processing may therefore be subject to separate terms and conditions imposed by the relevant payment provider.
Depending on the Merchant’s commercial arrangement with Ryze, Ryze may facilitate:
• payment collection;
• payment gateway integration;
• settlement;
• split payments;
• delivery wallets;
• refunds; or
• related payment functionality.
Unless expressly agreed otherwise, Ryze does not operate as a bank or financial institution.
The Merchant remains responsible for the commercial transaction with its End Customer, including applicable taxes, refunds and chargebacks.
Payment processing fees, WhatsApp/Meta charges, delivery charges or other third-party costs may apply in addition to Ryze subscription or service fees.
10. Fees and Subscriptions
Fees applicable to a Merchant are determined by its order form, proposal, subscription plan, commercial agreement or other written agreement with Ryze.
Fees may include:
• subscription fees;
• per-branch licence fees;
• setup or implementation fees;
• integration fees;
• WhatsApp messaging charges;
• payment-processing charges;
• delivery charges;
• support charges;
• transaction-related charges; and
• third-party service charges.
Third-party fees may change from time to time.
Ryze may adjust its own fees by providing reasonable notice, unless different terms have been agreed in writing.
Unless otherwise agreed, fees already paid are non-refundable except where required by applicable law.
11. Merchant Account Security
Merchants are responsible for maintaining the confidentiality and security of their account credentials.
The Merchant must promptly notify Ryze if it suspects:
• unauthorised access;
• compromised credentials;
• fraudulent transactions;
• misuse of its WhatsApp account; or
• any security incident involving the Services.
Merchants must not attempt to obtain unauthorised access to Ryze systems, other Merchant accounts, customer information or third-party services.
12. Personal Data and Privacy
Ryze processes personal information in accordance with its Privacy Policy and applicable data-protection legislation.
Information processed through the Services may include:
• customer names;
• telephone numbers;
• delivery addresses;
• location information;
• order information;
• communication history;
• device and technical information;
• payment-related references; and
• other information required to provide the Services.
For customer information processed on behalf of a Merchant, the Merchant will generally determine the purposes for which such information is collected and used, while Ryze processes the information as necessary to provide the Services, subject to applicable law and the parties’ contractual arrangements.
Ryze may separately process certain information for its own legitimate operational purposes, including:
• account administration;
• billing;
• fraud prevention;
• security;
• service monitoring;
• regulatory compliance; and
• improving and maintaining the Services.
Each Merchant is responsible for providing its customers with appropriate privacy notices and obtaining any consent required by applicable law.
Where applicable, the parties shall comply with the Personal Data Protection Law of the Kingdom of Saudi Arabia, its implementing regulations and applicable requirements concerning personal-data transfers.
Additional data-processing terms may be entered into between Ryze and the Merchant where required.
13. Third-Party Services
The Services may rely upon or integrate with third parties including:
• Meta and WhatsApp;
• payment gateways;
• cloud hosting providers;
• delivery providers;
• mapping and location providers;
• analytics providers;
• telecommunications providers;
• artificial intelligence services;
• ERP, POS and CRM providers; and
• other technology partners.
Ryze does not control the availability, policies, security decisions or technical operation of independent third-party services.
A failure, restriction or modification of a third-party service may affect the availability of certain Ryze functionality.
14. Acceptable Use
A Merchant must not use the Services:
• for unlawful or fraudulent activities;
• to sell prohibited or restricted products in violation of applicable law or platform policies;
• to impersonate another person or organisation;
• to send spam or unauthorised marketing;
• to distribute malware or malicious content;
• to collect personal information unlawfully;
• to infringe intellectual-property rights;
• to attempt unauthorised access to systems or information;
• to interfere with or disrupt the Services;
• to reverse engineer Ryze software except where expressly permitted by law;
• to circumvent usage restrictions or security controls; or
• in any manner reasonably likely to expose Ryze, Meta, a customer or another party to legal or regulatory liability.
15. Merchant Content
Merchants may provide Ryze with logos, images, menus, product information, trademarks, promotional materials and other content.
The Merchant retains ownership of its content.
The Merchant grants Ryze a non-exclusive licence to use, host, reproduce, display, transmit and technically modify that content solely as necessary to provide, support and promote the Merchant’s use of the Services.
The Merchant warrants that it has the necessary rights to provide such content and that the content does not violate applicable law or third-party rights.
16. Intellectual Property
Ryze and its licensors retain all rights in the Services, including:
• software;
• source code;
• APIs;
• user interfaces;
• database structures;
• automation;
• algorithms;
• designs;
• workflows;
• documentation;
• trademarks; and
• proprietary technology.
No rights are transferred to the Merchant except the limited right to use the Services during the applicable subscription or contract period.
17. Service Availability
Ryze aims to maintain reliable Services but does not guarantee uninterrupted or error-free operation.
Services may be unavailable because of:
• scheduled maintenance;
• emergency maintenance;
• telecommunications issues;
• cloud infrastructure failures;
• Meta or WhatsApp interruptions;
• payment provider issues;
• delivery provider issues;
• cybersecurity incidents;
• government or regulatory actions;
• force majeure events; or
• other circumstances outside Ryze’s reasonable control.
Ryze may modify, replace or discontinue functionality where reasonably necessary for security, regulatory, operational or technical reasons.
18. Suspension
Ryze may immediately restrict or suspend access to some or all Services where reasonably necessary because of:
• failure to pay amounts when due;
• suspected fraud;
• security risks;
• misuse of the Services;
• violation of these Terms;
• violation of applicable law;
• violation of Meta or WhatsApp policies;
• excessive customer complaints or spam reports;
• activities affecting Ryze’s Meta or WhatsApp infrastructure;
• a request or restriction imposed by Meta or another third-party provider; or
• conduct that creates material risk to Ryze or other Merchants.
Where reasonably possible, Ryze will notify the Merchant of the suspension and provide information necessary to resolve the issue.
19. Termination
Either party may terminate the Services in accordance with the Merchant’s applicable subscription, order form or commercial agreement.
Upon termination:
• the Merchant’s access to the Services may be disabled;
• unpaid fees remain payable;
• Ryze may stop processing new orders or communications;
• third-party integrations may be disconnected;
• applicable Merchant data may be exported or deleted in accordance with the parties’ agreement and applicable law; and
• any migration of WhatsApp or Meta assets will be subject to technical feasibility, Meta requirements and the parties’ commercial agreement.
Termination does not affect rights or obligations accrued before termination.
20. Platform Enforcement and Account Restrictions
The Merchant acknowledges that Meta, WhatsApp and other third-party providers may independently restrict, suspend or terminate accounts, telephone numbers, message templates or access to their platforms.
Where such action results from:
• Merchant activity;
• Merchant content;
• customer complaints;
• spam reports;
• policy violations;
• prohibited products;
• insufficient customer consent; or
• other circumstances attributable to the Merchant,
Ryze will not be responsible for the resulting suspension or loss of service.
Ryze may assist the Merchant in submitting information or appeals where appropriate but cannot guarantee reinstatement or approval by Meta or any other third party.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.
Ryze does not warrant that:
• the Services will operate without interruption;
• all third-party services will remain available;
• WhatsApp or Meta will approve or maintain any account or integration;
• customer communications will always be successfully delivered;
• delivery estimates will always be accurate;
• automated responses will always be correct; or
• the Services will meet every individual Merchant requirement.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Ryze will not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, revenue, goodwill, business opportunities or anticipated savings arising from use of the Services.
Ryze will not be responsible for losses resulting from the actions or failures of:
• Merchants;
• End Customers;
• Meta or WhatsApp;
• payment providers;
• delivery providers;
• telecommunications providers;
• cloud providers; or
• other independent third parties.
Where liability cannot be excluded, Ryze’s aggregate liability relating to the Services will not exceed the amount paid by the affected Merchant to Ryze for the Services during the three months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.
23. Indemnification
To the extent permitted by law, a Merchant agrees to indemnify and hold Ryze harmless from third-party claims, liabilities, losses and reasonable costs arising from:
• products or services sold by the Merchant;
• Merchant content;
• breach of these Terms;
• unlawful customer communications;
• failure to obtain required customer consent;
• infringement of third-party intellectual-property rights;
• violation of consumer-protection requirements;
• Merchant violation of Meta or WhatsApp policies; or
• unlawful processing of personal information by the Merchant.
24. Confidentiality
Each party may receive confidential business, commercial or technical information from the other.
Neither party may disclose the other party’s confidential information except:
• as necessary to perform its obligations;
• to employees, contractors or professional advisers subject to confidentiality obligations;
• where authorised by the other party; or
• where disclosure is required by law or a competent authority.
25. Changes to the Services
Ryze continually develops and improves its Services.
We may add, modify or remove functionality, particularly where changes are necessary because of:
• Meta or WhatsApp API updates;
• third-party provider changes;
• security requirements;
• regulatory requirements; or
• improvements to the platform.
Where a change materially affects a paid Merchant service, Ryze will use reasonable efforts to provide appropriate notice.
26. Changes to These Terms
Ryze may update these Terms from time to time.
The updated version will be published on our website with a revised effective date.
Where changes materially affect a Merchant’s rights or obligations, Ryze may provide additional notice through email, WhatsApp, the Merchant dashboard or another appropriate communication method.
Continued use of the Services after updated Terms become effective constitutes acceptance of those Terms, to the extent permitted by applicable law.
27. Governing Law and Jurisdiction
These Terms shall be governed by the laws and regulations of the Kingdom of Saudi Arabia, without prejudice to any mandatory rights available under applicable law.
Unless otherwise agreed in writing or required by applicable law, disputes arising from these Terms or the Services shall be subject to the jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
28. Entire Agreement
These Terms, together with the Privacy Policy and any applicable proposal, order form, subscription agreement, service agreement or other written agreement between Ryze and the Merchant, constitute the agreement governing use of the Services.
If a separately executed written agreement conflicts with these Terms, the separately executed agreement will take precedence with respect to the conflicting provision.
